Globally, the last few years have been a challenging period for private equity investors, GPs and LPs alike. The broader market has been shaped by higher interest rates, insipid economic growth and multiple geopolitical shocks. This has generally led to lower NAV growth, a muted exit environment and a sharp reduction in distributions to LPs.
Whilst it hasn’t been immune to these headwinds, the European buyout mid-market has shown a high degree of resilience and attractiveness that has not gone unnoticed by global allocators. The differences in LP distributions in 2023 and 2024 between the mid and large/mega-cap markets, and between Europe and the US, were particularly pronounced. Long-term performance of the European mid-market is broadly comparable with that of the US, but recent shorter-term performance has been better, both in EUR and USD terms. According to research by Invest Europe, mid-market private equity funds registered 17.4% in net returns since inception compared to 13% over 30 years for North American LBO funds.
It is no surprise therefore that European PE fundraising reached its second highest level in 2025, with a tilt in global appetite towards mid-market funds which was particularly pronounced in Europe.
What underpins the “all weather” attractiveness of the European mid-market? One important factor is its complexity - the depth and fragmentation of the corporate landscape and European market heterogeneity. Unlike the more concentrated and homogeneous US market, Europe comprises thousands of privately-owned and family-controlled businesses across multiple countries, sectors and industries. The opportunity set is vast: 34 million SMEs, including 251,118 mid-sized companies generating €1.8 trillion in turnover and employing 25 million. Many are geographic market leaders in specialist niches but remain underpenetrated by institutional capital. This creates a particularly fertile environment for buy-and-build strategies, professionalisation and operational improvement. The opportunity now is not simply to financially-engineer businesses, but to accelerate growth through buy-and-build, international expansion, digitalisation, pricing, procurement and management enhancement.
Over the last 15 years, the European mid-market has matured tremendously. The best GPs now bring a combination of genuine sectoral expertise, local presence and a value creation playbook to maximise the opportunities presented by the European corporate dynamics outlined above. Entry pricing tends to be lower as competition for assets is less fierce, and as evidenced over the past few years, the exit environment is more reliant on strategic acquirers than IPOs or financial sponsors dependent on leverage.
In developed markets, the recent reset has also improved the quality of underwriting opportunities. The era of inexpensive debt and automatic multiple expansion has ended, placing greater emphasis on EBITDA growth and genuine value creation. But this is an area in which European mid-market managers have been honing their skills over the last 10+ years. For global investors, the diversification benefits are equally compelling. European mid-market portfolios can provide exposure to different economic cycles, currencies, consumer markets and industrial specialisms, reducing reliance on the performance of a single, large economy. Europe’s ongoing consolidation, succession dynamics, carve-outs and digital transformation continue to provide additional sources of deal flow and value creation.
At Patria, we believe that the opportunity for institutional investors to benefit by increasing their European mid-market PE exposure is dependent on their ability to access and manage it. For those able and willing to do so, their portfolios should be enhanced by the strong, through-the-cycle cash-on-cash performance of this unique ecosystem. The best European mid-market managers remain well-positioned to convert Europe’s complexity into a performance advantage.
